Authorization for Home Inspection Services

    1. Term. The term of this Agreement shall commence on the Effective Date and shall end on the day the Home Inspection (defined below) is completed (the “Termination Date”), unless terminated earlier pursuant to the
    provisions of Section 8 herein.

    2. The Home Inspection. The Home Inspection shall be rendered by Inspector to Client pursuant to standards of practice as prescribed by InterNachi. Inspector shall exercise its best efforts to perform the following tasks in a professional manner,with the degree of knowledge, skill and judgment reasonably expected in the performance of such tasks.Inspector will make a visual, non-invasive review of readily accessible areas including, but not limited to, the condition of the home’s heating and central air conditioning system (temperature permitting); interior plumbing and electric systems; the roof, attic, and visible insulation; walls, ceilings, floors, windows and doors;
    foundation; basement and visible structure. Client(s) understand(s) that the inspection is only a visual and non-invasive review of readily accessible
    areas. No excavation or removal of obstructions is performed. Hidden or obstructed defects may not be observed. In addition, some property components are inspected on a random sampling of like items (e.g.electrical outlets, windows, doors, etc.) and therefore not every defect may be identified. Upon completion of the inspection, Inspector shall complete a written Inspection Report of his findings and submit the Inspection Report to Client(s) electronic mean, by certified mail or personal delivery within five (5)business days of the completion of the inspection.

    3. Rights to Inspection Report. The right to the Inspection Report shall remain the exclusive right of Inspector until the Inspector releases the Inspection Report to Client(s) named in Section 2 of this Agreement. Said release will be evidenced by personal delivery of the report or mailing the Inspection Report via certified mail to Client(s).Inspector is under no obligation to transfer, copy, report, communicate to/with any other person, entity, affiliate, heir, assignor, transferee or successor the results of his findings, except to the person or those persons listed as Client(s) under Section 2 herein.

    4. Compensation. In consideration for the Services rendered, Client(s) shall pay to Inspector a flat fee in the amount listed in the fee schedule by the square foot of the property being inspected.

    5. Representations and Warranties. The inspection and Inspection Report are not intended to be used as a guarantee, warranty, or insurance policy, expressed or implied, regarding the adequacy, performance or conditions of any inspected structure, item, component or system and it should not be relied upon as such. The
    inspection and Inspection Report is also not a certification nor implied warranty of habitability, merchantability or fitness for use of any kind. Inspector makes no warranty other than its inspection services will be performed in accordance of the scope of the inspection and Inspection Report only. Customer(s) receive(s)
    no other warranty, express or implied. Inspector does not guarantee that the structure will be free from faults or defects.

    6. Client(s) Presence. Inspector encourages Client(s) to be present at the inspection. This will enable the Inspector to present Client(s) with specific observations as they are encountered.

    7. Termination and Liquidated Damages. This Agreement may be terminated in the following ways:
    (a) By either Party upon Inspector’s sole determination that the Inspection and the Inspection Report is complete;
    (b) By either Party prior to the commencement of the inspection by Inspector; or
    (c) By Inspector upon non payment for the inspection he has rendered.
    Should services be terminated by Client(s) during the inspection, Client(s) agree(s) to pay Inspector the contract price as liquidated damages for breach of this Agreement. Due to the complex nature of
    the services to be provided and no set formula to determine damages from Client (’s’) breach of this Agreement, said liquidated damages is to compensate Inspector for the services rendered at the time of termination by client
    and time allotted for Inspector to perform the inspection per this Agreement on the agreed upon date and time.

    8. Indemnification. Client(s) shall indemnify Inspector from and against any and all losses, claims, damages,
    liabilities, costs and expenses as the same are incurred (including, without limitation, any actual, legal or other expenses reasonably incurred in connection with investigation, preparing to defend or defending against any action, claim, suit or proceeding commenced or threatened, or in appearing or preparing for pretrial proceedings)which arise out of or in connection with the inspection, this Agreement and/or services.

    9. Arbitration. In the event that any dispute arises out of or relates to the inspection performed or Inspection Report issued under this Agreement, it is mandatory that such dispute be submitted to arbitration for resolution. Notice of a demand for arbitration submitted in accordance with the provisions of this Section shall be given in writing to Denver Area Mortgage Field Services within one (1) year of the inspection. The arbitration shall be conducted pursuant to the Rules & Procedures for the Expedited Arbitration of Home Inspection Disputes administered by Construction Arbitration Services Inc. In the event that a dispute is submitted to arbitration pursuant to this Section, the decision of the arbitrator shall be final and binding on the parties and judgment on the award of arbitrator may be entered in any court of competent jurisdiction.

    10. Inspector as Witnesses. In the event that Inspector is requested or summoned to court by Client(s) to be a witness as to a pending dispute with a third party, in regards to a home Inspector has inspected, Inspector shall be compensated for said services at $75.00 per hour.

    11. Applicable Law. This Agreement shall be governed and construed in accordance with the laws of the State of Colorado.

    12. Entire Agreement; Amendment. This Agreement contains the entire agreement of the Parties hereto and supersedes all prior communications, understandings and agreements between the Parties with respect to the subject hereof. This Agreement may not be modified or amended, nor may any of its provisions be waived,except by a writing signed by both Parties hereto.

    13. Headings. The headings of these Sections are for convenience only and shall not control or affect the meaning or construction or limit the scope or intent of the provisions of this Agreement.

    14. Severability. Whenever possible, each provision of this Agreement will be interpreted in such a manner as to be effective and valid under applicable law. But if any provision of this Agreement is held to be invalid, illegal or
    unenforceable, in any respect under applicable law or rule, such invalidity, illegality or unenforceability will not affect any other provisions or any other jurisdiction, but this Agreement will be reformed, construed and
    enforced in such a jurisdiction as if such invalid, illegal or unenforceable provision had never been contained herein.

    15. Report. This report has been prepared for the sole and exclusive use of the client indicated above and is limited to an impartial opinion which is not a warranty that the items inspected are defect-free, or that latent or concealed defects may exist as of the date of this inspection or which may have existed in the past or may exist in the future. The report is limited to the components of the property which were visible to the inspector on the date of the inspection and his opinion of their condition at the time of the inspection.

    16. Building permits. Inspector did not and is not required to check for any building permits that were pulled and/or completed on the inspected property from any jurisdiction

    17. Acceptance by payment for the inspection. If the client was unable to attend the inspection, payment for the service (the inspection) and receipt of the report by either electronic means or in paper form is considered agreement with the pre-
    inspection agreement.

    IN WITNESS WHEREOF, the Parties hereto, intending to be legally bound, have executed this Inspection Agreement as of the Effective Date.
